These Terms of Service (the “Terms”) govern your access to and use of Classp — the websites, applications, and services (together, the “Service”) operated by LabsMatrix Limited (“Classp,” “we,” “us,” or “our”), a company based in Hong Kong.
By creating an account, recording a session, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. Please also read our Privacy Policy, which explains how we handle your information and forms part of these Terms.
1. Acceptance of these Terms
By accessing or using the Service you confirm that you can form a binding contract with Classp, that you accept these Terms, and that you agree to comply with them. If you are using the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
We may update these Terms from time to time. When we make material changes, we will notify you as described in “Changes to these Terms.” Your continued use of the Service after changes take effect means you accept the revised Terms.
2. Eligibility and age requirement
You must be at least 18 years old, or the age of majority where you live if that is older, to use the Service. By using the Service, you confirm that you meet this requirement.
Classp is built for university and higher-education students. It is not directed to, or intended for, minors, K-12 primary or secondary school programs, or use as a school-administered system of record. You are responsible for ensuring your use of the Service is appropriate for your educational context.
3. Description of the Service
Classp helps students capture and understand their lectures. Depending on your plan, the Service may include real-time transcription, smart transcription clean-up, real-time and post-class AI summaries, an in-class and post-class AI question-and-answer assistant (“Ask AI”), real-time translation, lecture material uploads, and review tools such as mindmaps, quizzes, flashcards, and infographics.
We are continually improving the Service and may add, change, or remove features at any time. We may also set or change usage limits, and we may suspend or discontinue any part of the Service. Where a change materially reduces the core functionality of a paid plan, we will give you reasonable notice.
4. Your account
To use most features you must create an account. Authentication is provided through our identity partner (Clerk), including email and third-party sign-in such as Google or X (Twitter). You are responsible for the information you provide and for keeping your login credentials secure.
- You agree to provide accurate, current, and complete account information and to keep it up to date.
- You are responsible for all activity that occurs under your account.
- You must notify us promptly at support@classp.ai if you suspect any unauthorized use of your account.
- You may not share your account, sell it, or transfer it to anyone else without our consent.
5. Recording responsibility and consent
The Service lets you record and transcribe audio from your lectures and classes. Recording laws vary widely between countries, states, and institutions — some require the consent of only one party, others require the consent of all parties, and many schools have their own policies about recording lectures.
You are solely responsible for understanding and complying with all laws, regulations, and institutional policies that apply to your recordings. When you start a recording, you confirm that you have the right and any necessary permission to record that session. You agree not to use the Service to record anyone unlawfully or without required consent, and you will indemnify us for any claim arising from your recordings.
6. Content and intellectual property
Your content
You retain ownership of the content you provide or generate through the Service, including your recordings, transcripts, uploaded lecture materials, notes, and AI-assisted outputs (“Your Content”). You grant Classp a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely as needed to operate, secure, and improve the Service and to provide it to you. This license ends when you delete Your Content or close your account, except for copies retained in backups for a limited time.
Lecture and instructor materials
Lectures, slides, and other teaching materials are often protected by copyright owned by your instructors or institution. You may use the Service to record and process such materials only for your own personal study. You must not redistribute, publish, sell, or otherwise commercially exploit recordings, transcripts, or materials that you do not own or have permission to share.
Our intellectual property
The Service itself — including its software, design, user interface, branding, and underlying technology — is owned by Classp and protected by intellectual property laws. These Terms do not grant you any right to use our name, logos, or trademarks except as needed to use the Service.
7. AI-generated content
The Service uses artificial intelligence to transcribe, translate, summarize, answer questions, and generate study materials. AI-generated content is labeled within the Service and is provided for your convenience and study only.
AI output can be inaccurate, incomplete, or out of context. It is not a substitute for the original lecture, your own judgment, or professional, legal, medical, or academic advice. You are responsible for verifying any information before relying on it. We do not warrant the accuracy, completeness, or reliability of any AI-generated content.
8. Acceptable use
You agree to use the Service lawfully and respectfully. You must not:
- Use the Service to record or process content unlawfully, or without any consent or permission required by law or institutional policy.
- Upload or share content that is illegal, infringing, harmful, harassing, or that violates the rights of others.
- Attempt to reverse engineer, decompile, scrape, or gain unauthorized access to the Service, other accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Service, including by introducing malware or overloading our infrastructure.
- Abuse, manipulate, or defraud the referral program or any promotion (see “Referral program”).
- Resell, sublicense, or commercially exploit the Service without our written permission.
We may investigate suspected violations and may suspend or terminate accounts that breach this section.
9. Subscriptions, billing, and auto-renewal
Classp offers a free tier and paid Pro and Max plans. Payments are processed by our payment partner, Stripe; we do not store your full card details.
Free tier
The free tier includes a one-time allowance (for example, a fixed number of transcription minutes, Ask AI questions, and AI Tools generations). These free allowances do not reset monthly. When they are used up, you can continue on the free tier with limited functionality or upgrade to a paid plan.
Paid plans and automatic renewal
- Pricing. Paid plans are offered as monthly and annual subscriptions. Current prices, plan features, and usage limits are shown on our pricing page, in the Service, and at checkout.
- Auto-renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price, until you cancel. There is no free trial, so your payment method is charged immediately when you subscribe.
- Renewal reminder. For annual plans, we will send an email reminder before your subscription renews.
- Cancellation. You can cancel at any time from Settings, which opens the Stripe customer portal. When you cancel, your paid access continues until the end of the current billing period and does not renew afterward.
- Price changes. If we change subscription prices, we will give you advance notice; changes apply to billing periods that begin after the notice period.
Plan changes and upgrades
If you are on the free tier, your first paid subscription is completed through checkout. If you already have an active paid subscription and choose an eligible upgrade, Classp may show an upgrade quote before you confirm. The quote may take into account the value of eligible unused allowance on your current plan, any applicable Stripe account balance credit, and the price of the target plan. Upgrade rules, eligible paths, and credit policies may change over time and will be shown in the Service before you confirm an upgrade.
An upgrade takes effect only after the required payment is completed or otherwise confirmed by our payment processor. If an upgrade payment fails, your account may remain on, or be restored to, the prior plan. When an upgrade takes effect, the usage allowance for the new plan starts from the upgrade effective time. Downgrades, cancellations, payment-method changes, and billing-history access are handled through the Stripe customer portal unless the Service states otherwise.
10. Refunds
Except where required by law, payments are non-refundable. When you cancel a paid plan, you keep access until the end of the period you already paid for, and you are not charged again — we do not provide partial or prorated refunds for the remaining time. Eligible upgrades may include a credit or discount shown in the upgrade quote, but that credit is not a cash refund unless applicable law requires otherwise.
Some jurisdictions provide consumers with a statutory cooling-off period or other non-waivable refund rights. Nothing in these Terms limits any rights you have that cannot be waived under applicable law. If you believe you are entitled to a refund under such a right, contact us at support@classp.ai.
11. Referral program
We may offer a referral program that rewards you and the people you invite — for example, a discount coupon for a new user’s first subscription, and coupons or bonus Pro days for the referrer. The specific rewards, eligibility, and limits are described in the Service and may differ based on your plan.
- Rewards are personal to you, have no cash value, and cannot be sold, transferred, or combined except as we allow.
- Bonus Pro days earned by referrals may be subject to an annual cap, as shown in the Service.
- We may change, suspend, or end the referral program and adjust its rewards and limits at any time.
- Fraud and abuse — including self-referrals, fake accounts, or manipulating sign-ups or purchases — are prohibited. We may withhold or revoke rewards and suspend accounts that abuse the program.
12. Third-party services
The Service relies on trusted third-party providers — including for authentication, hosting, databases, payment processing, and AI processing. Your use of the Service may be subject to those providers’ terms, and we are not responsible for their acts or omissions. The categories of providers and the data they process are described in our Privacy Policy.
13. Termination and data deletion
You may stop using the Service and delete your account at any time from Settings. When you delete your account, we permanently remove your account and associated data within 30 days, except where we are required to retain certain information by law.
We may suspend or terminate your access if you breach these Terms, if your use poses a risk to the Service or others, or as required by law. Where reasonable and lawful, we will give you notice. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.
14. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any content — including transcripts, translations, and AI output — will be accurate or complete.
You are responsible for maintaining your own copies of important content. To the extent permitted by law, we are not responsible for any loss of recordings, transcripts, or other content.
15. Limitation of liability
To the maximum extent permitted by law, Classp and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of (or inability to use) the Service.
To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You agree to indemnify and hold harmless Classp and its officers, employees, and suppliers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your content, your recordings, your use of the Service, or your violation of these Terms or of any law or the rights of others.
17. Changes to these Terms
We may revise these Terms from time to time. When changes are material, we will notify you by email or through the Service before they take effect, and we will update the “Last updated” date above. If you do not agree to the revised Terms, you should stop using the Service and may delete your account.
18. Governing law and disputes
These Terms are governed by the laws of Hong Kong, without regard to its conflict-of-laws rules. You agree that the courts of Hong Kong have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where applicable law gives you the right to bring proceedings in your local courts.
